1. Overview
This Intellectual Property Policy explains who owns the intellectual property rights in work created during and after a service engagement with Terra Connect Ltd. It covers our website content, custom-built deliverables, pre-existing IP, and third-party components.
This policy is governed by English law, including the Copyright, Designs and Patents Act 1988 and the Trade Marks Act 1994.
2. Terra Connect Ltd Website & Brand
All content, trademarks, logos, source code, designs, text, images, and other materials on terraconnect.co.uk are the exclusive property of Terra Connect Ltd, unless otherwise stated, and are protected by copyright and other intellectual property laws.
- You may not copy, reproduce, distribute, or create derivative works from our website content without our prior written consent
- Our name, logo, and trading style are unregistered trademarks of Terra Connect Ltd
- Viewing our website does not transfer any IP rights to you
3. Custom Deliverables — Client Projects
a) Default Position
Unless otherwise agreed in writing in the service agreement or statement of work, the following applies:

b) Condition of Transfer
IP ownership in custom deliverables transfers to you only upon receipt of full and final payment for the project. Until full payment is received, Terra Connect Ltd retains all intellectual property rights, and any licence granted is suspended.
c) Portfolio Licence
Unless you request otherwise in writing before project commencement, you grant Terra Connect Ltd a perpetual, royalty-free, non-exclusive licence to display your project in our portfolio (website, social media, proposals) for marketing and demonstration purposes.
4. Open-Source Components
Many of our projects incorporate open-source software. We ensure all open-source components are used in compliance with their respective licences. We will notify you of all open-source components included in your deliverable and their licence terms upon request.
Common licences used include MIT, Apache 2.0, and ISC. These generally permit commercial use, modification, and distribution provided attribution requirements are met.
5. Client Warranties
By engaging our services, you warrant that:
- You own or have the right to use all content, materials, data, and IP you provide to us
- Using the materials you provide will not infringe the IP rights of any third party
- You will indemnify Terra Connect Ltd against any claims arising from materials you provided
